Please find below the Constitution of
the Edgcliff Club of First Floor,
40 Cliff Road, Newquay, Cornwall, TR7 2ND
1) Name
The Club shall be called “The Edgcliff Club”
2) Objects
The Club is formed for the purpose of providing facilities for
the playing of snooker as well as other sporting and social
opportunities for its members.
3) Constitution of the Club
The Club is a Proprietary Club and the Proprietor is Vasant
Maru
4) The Proprietor’s obligations
The Proprietor shall provide for the Club premises and everything
reasonably necessary for carrying on the Club in accordance
with its objects and these rules and shall be solely responsible
for all expenses so incurred and for the engagement and payment
of staff for catering and all other matters involving the expenditure
of money.
5) Rights and Liabilities of Members
Every member of the Club shall subject to these Rules for the
time being in force be entitled to use and enjoy in common with
other members of the Club the Club premises including the Club
House and furniture, fittings and other things in the Club House
provided by the Proprietor for the use of the Club but shall
not by reason of his/her membership be under any financial liability
except for payment of his/her annual subscription to the Club.
6) Membership
The Club shall consist of at least twenty five Ordinary members
excluding life members and of Honorary members elected in accordance
with these Rules. Ordinary members having a residential or business
address within a radius of 15 miles from the Club premises shall
be Town Members. Ordinary members residing beyond that radius
shall be Country Members. All members must be over 18 years
of age.
7) Temporary Membership
The Proprietor or person acting with the express authority of
the Proprietor may grant temporary membership to any person
for a fee of £1.50. The fee will be payable prior to entrance
and the decision as to whether or not to grant temporary membership
shall be at the sole discretion of the Proprietor or person
acting with his express authority. On special occasions the
Proprietor can issue a special concession membership without
a fee being charged. This special concession membership shall
be at the sole discretion of the Proprietor.
8) Subscriptions
The annual subscription for individual ordinary members shall
be £5 per person or such other rates as the Proprietor
may from time to time decide. Subscriptions shall be due and
payable on the First day of January in each year and on or before
that date shall be paid to the Proprietor or person designated
by the Proprietor as acting on his behalf.
9) Application for Membership and Proposal of
Candidates
Every candidate for membership of the Club shall be proposed
by one member of the Club and seconded by another member of
the Club, both of whom shall be personally acquainted with the
candidate and shall vouch for his/her fitness for membership.
Proposals must be on the forms provided by the Club and must
be signed by the proposer and seconder. The candidate shall
also sign a form of application for membership giving all particulars
required by the Club with an undertaking to be bound by all
the rules and bye-laws of the Club if elected. The decision
as to whether membership is granted shall be at the sole discretion
of the Proprietor whose decision shall be final and no reason
need be given by the Proprietor for his failure to accept membership.
10) Expulsion of Member for Misconduct
The Proprietor may expel from the Club any member whose conduct
is such as shall in the opinion of the Proprietor be injurious
to the character of the Club or the interests of the members
or whose conduct is directly or indirectly threatening insulting
rude or offensive to the Proprietor or any member of his family
or staff or another member. Before a member is expelled his/her
conduct shall be enquired into by the Proprietor and he/she
shall be given full opportunity to defend himself/herself and
to justify or explain his/her conduct. If the Proprietor is
of the opinion that the member has been guilty of such conduct
and that the member has failed to justify or explain it satisfactorily
the Proprietor shall call on the member to resign and if he/she
does not resign shall expel him/her. An expelled member shall
forfeit all the privileges of membership and all rights against
the Club. An expelled member shall not be entitled to any refund
of his/her subscription and shall remain liable for his/her
subscription for the year he/she was expelled.
11) Guests
Members shall be entitled to introduce no more than two guests
to the Club premises in any 24 hour period.
12) General Meetings
An annual General Meeting of the Club shall be held once in
every year for such business as the Proprietor may consider
appropriate.
13) Permitted Hours
The permitted hours for the supply of intoxicating liquor shall
be from 11a.m. till late 7 days a week, Christmas Day and Good
Friday from 12 am to 3 pm and from 7pm to 10.30pm, or such other
hours as are permitted by a Justices Licence.
14) Bye-laws
The Proprietor may from time to time make, vary or revoke bye-laws
not inconsistent with these Rules for the regulation of the
internal affairs of the Club and conduct of the members. All
such bye-laws shall until revoked by the Proprietor be binding
on members.
15) Gaming Machines
If the Proprietor of the Club is granted a Licence under Part
III of the Gaming Act 1968 all proceeds or profits from the
Gaming Machines installed at the Club premises will be used
exclusively for the benefit of the Club and its Members and
the Proprietor or his appointed representative must be present
when the said machines are emptied or re-stocked with cash.
16) Liability
The Proprietor shall not be liable for any loss or damage caused
to any property belonging to or brought into the Club by a Member
or staff or anyone working on the premises or any other persons.
Nor shall the Proprietor be liable to refund any subscription
due to being unable to provide the facilities at the Club due
to circumstances beyond the control of the Proprietor.
17) Dissolution
In the event of the Proprietor’s death or serious injury
or incapacity leading to the Proprietor being unable to run
the Club for a period of 3 months then the Club shall be closed
and all memberships cease with immediate effect at that point
and the Proprietor nor any other person shall be liable to refund
any subscription or anything else.
